Terms of Service
Effective Date: October 10, 2025
These Terms of Service (“Terms”) govern access to and use of the Vendor Linker website, membership offerings, and related services (“Vendor Linker,” “we,” “us,” or “our”). By purchasing a membership or using Vendor Linker services, you agree to be bound by these Terms. If you do not agree, do not use the services.
Nature of Services
Vendor Linker operates as a membership-based commercial vendor network. Vendor Linker facilitates introductions between members and independent service providers.
Vendor Linker does not:
perform procurement services
manage vendor work
supervise projects
negotiate pricing
guarantee vendor availability or outcomes
All vendor selection decisions, pricing, contracts, and project execution are conducted directly between the member and the vendor.
Membership & Access
Vendor Linker memberships provide eligibility for vendor introductions based on service needs and network alignment.
Membership does not guarantee:
vendor selection
project volume
pricing
availability
outcomes
Vendor Linker reserves the right to determine whether an introduction is appropriate based on network standards and service alignment.
Billing & Renewal
Memberships are billed on an annual basis and renew automatically each year unless canceled prior to the renewal date.
Members may cancel at any time to prevent future renewal.
All membership fees are non-refundable, including in cases of early cancellation or non-use.
Vendor Linker reserves the right to decline or discontinue renewal based on adherence to network standards, professionalism, responsiveness, or conduct inconsistent with the purpose of the network.
Payment Processing
Vendor Linker uses Stripe as its third-party payment processor.
By purchasing a membership, you authorize Stripe to process payments on your behalf in accordance with its terms and privacy policy. Vendor Linker does not store or process payment card information directly and is not responsible for payment processing errors or service interruptions caused by Stripe.
Referral Fees
Certain vendor introductions may be subject to a one-time referral fee if a contracted engagement results from the introduction.
Referral terms are disclosed and must be acknowledged prior to any introduction. Referral fees apply only to the initial contract resulting from the introduction and do not apply to renewals, extensions, or future engagements.
Circumventing Vendor Linker to avoid applicable referral fees is prohibited.
Vendor Standards & Documentation
Vendors participating in the Vendor Linker Network are expected to maintain appropriate licensing and insurance customary for their trade.
Vendor Linker may request documentation as part of onboarding or periodic review but does not verify, monitor, or guarantee ongoing compliance and assumes no responsibility for vendor documentation.
No Warranties
Vendor Linker services are provided “as is” and “as available,” without warranties of any kind.
Vendor Linker makes no representations or guarantees regarding vendor performance, outcomes, timelines, or business results.
Limitation of Liability
To the fullest extent permitted by law, Vendor Linker shall not be liable for:
vendor performance or misconduct
project outcomes or delays
lost profits or business interruption
indirect, incidental, or consequential damages
Your sole remedy for dissatisfaction with Vendor Linker services is to discontinue membership.
Termination
Vendor Linker reserves the right to suspend or terminate membership or access if a member:
violates these Terms
attempts to circumvent referral terms
misuses the network
provides false or misleading information
Termination does not relieve obligations incurred prior to termination.
Governing Law
These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the courts located in Dallas County, Texas.
Changes to Terms
Vendor Linker may update these Terms at any time. Updates will be posted with a revised Effective Date. Continued use of the services constitutes acceptance of the revised Terms.
