Welcome to Vendor Linker (“Vendor Linker,” “we,” “our,” or “us”). Vendor Linker operates as a membership-based commercial vendor network headquartered in Dallas, Texas. These Payment & Engagement Terms (“Terms”) govern membership billing, payment processing, referral fees, and engagement boundaries. By purchasing a membership or engaging with Vendor Linker services, you agree to be bound by these Terms. If you do not agree, do not use the services.

Nature of Services

Vendor Linker facilitates introductions between members and independent service providers through a structured vendor network.

Vendor Linker does not:

• perform procurement services

• manage vendor work

• negotiate pricing

• supervise projects

• guarantee vendor availability or outcomes

All vendor selection decisions, pricing, contracts, and project execution occur directly between the participating parties.

Membership Billing

Vendor Linker memberships are billed on a 12- month annual basis and renew automatically each year unless canceled prior to the renewal date.

Membership fees are non-refundable, including in cases of early cancellation or non-use.

Members may cancel at any time to prevent future renewal. Cancellation does not entitle the member to a refund of fees already paid.

Vendor Linker reserves the right to decline or discontinue renewal based on adherence to network standards, professionalism, responsiveness, or conduct inconsistent with the purpose of the network.

Payment Processing

Vendor Linker uses Stripe as its third-party payment processor.

By purchasing a membership, you authorize Stripe to process payments on your behalf in accordance with its terms and privacy policy. Vendor Linker does not store or process payment card or bank information and is not responsible for payment processing errors or interruptions caused by Stripe.

Failure to maintain active payment may result in suspension or termination of membership access.

Referral Fees

Certain vendor introductions may be subject to a one-time referral fee if a contracted engagement results from the introduction.

Referral terms are disclosed and must be acknowledged prior to any introduction. Referral fees apply only to the initial contract resulting from the introduction and do not apply to renewals, extensions, or future engagements.

Circumventing Vendor Linker to avoid applicable referral fees is prohibited.

Vendor Documentation & Standards

Vendors participating in the Vendor Linker Network are expected to maintain appropriate licensing and insurance customary for their trade.

Vendor Linker may request documentation as part of onboarding or periodic review but does not verify, monitor, or guarantee ongoing compliance and assumes no responsibility for vendor documentation.

Third-Party Services

Vendor Linker may rely on third-party providers for payment processing, communications, analytics, and website operations.

By using the services, you acknowledge that third-party providers may process information under their own policies. Vendor Linker is not responsible for the actions or omissions of third-party providers.

Limitation of Liability

To the fullest extent permitted by law:

• Vendor Linker provides services “as is” and “as available”

• Vendor Linker is not responsible for vendor performance, project outcomes, delays, or business losses

• Vendor Linker shall not be liable for indirect, incidental, or consequential damages, including lost profits or data

Your sole remedy for dissatisfaction is to discontinue membership.

Termination

Vendor Linker reserves the right to suspend or terminate access if:

• fees are not paid as required

• referral terms are circumvented

• services are misused

• false or misleading information is provided

Termination does not relieve obligations incurred prior to termination.

Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved exclusively in the courts located in Dallas County, Texas.

Changes to These Terms

Vendor Linker may update these Terms at any time. Updated versions will be posted with a revised Effective Date. Continued use of the services constitutes acceptance of the revised Terms.
